Welcome to Zygi. By creating an account or using the Zygi platform ("Service"), you agree to the following terms. Please read them carefully. If you do not agree, please do not use the Service.

1. What Zygi is

Zygi is a free, patient-side organizational tool to help individuals and couples track the steps, documents, costs, and care team involved in IVF and surrogacy journeys. Zygi is not a medical service, a healthcare provider, or a licensed fertility clinic. Nothing on Zygi constitutes medical, legal, or financial advice.

2. Eligibility

You must be at least 18 years old to use Zygi. By using the Service, you represent that you meet this requirement.

3. Your account

You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Please notify us immediately if you suspect unauthorized access at hello@zygihealth.org.

4. Not medical advice

Zygi provides organizational and informational content — step suggestions, questions to ask, and reminders — based on commonly understood IVF and surrogacy processes. This content does not replace the guidance of your physician, reproductive endocrinologist, attorney, or any other qualified professional. Always follow the specific advice of your care team.

5. Your data

Your journey data belongs to you. We do not sell it, share it with clinics, agencies, or third-party advertisers, or use it for any purpose other than operating the Service. See our Privacy Policy for full details.

6. Free service

Zygi is free to use. There are no premium tiers, hidden fees, or in-app purchases. We reserve the right to introduce optional features in the future, but core functionality will remain free.

7. Acceptable use and termination

You agree not to misuse the Service — including attempting to gain unauthorized access, scraping data, or using Zygi to harm others. We reserve the right to suspend or terminate your account at any time, for any reason, with or without notice, including for violation of these terms. Upon termination, your right to use the Service immediately ceases. Sections of these terms that by their nature should survive termination will do so, including Sections 8, 9, 13, and 14.

8. Intellectual property

The Zygi name, logo, and all original content on the platform are owned by Zygi and may not be reproduced without permission. Content you create and upload (notes, documents, etc.) remains yours.

9. Disclaimers and limitation of liability

Zygi is provided "as is" without warranties of any kind. To the fullest extent permitted by law, we are not liable for any indirect, incidental, or consequential damages arising from your use of the Service. Our total liability for any claim is limited to the amount you paid us in the past twelve months (which, since Zygi is free, is $0).

10. Indemnification

You agree to indemnify, defend, and hold harmless Zygi and its operators, affiliates, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your access to or use of the Service; (b) your violation of these terms; (c) any content you submit, post, or transmit through the Service; or (d) your violation of any third-party rights. We reserve the right to assume exclusive control of any matter subject to indemnification by you, at your expense, and you agree to cooperate with our defense.

11. Dispute resolution and arbitration

Please read this section carefully — it affects your legal rights.

For any dispute, claim, or controversy arising out of or relating to these terms or your use of Zygi ("Dispute"), you and Zygi agree to first try to resolve it informally by contacting us at hello@zygihealth.org. If a Dispute is not resolved within 30 days of informal notice, either party may initiate binding arbitration.

Binding arbitration. Any unresolved Dispute shall be finally resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, which are available at www.adr.org. The arbitration shall be conducted in English. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Class action waiver. You and Zygi each agree that any Dispute must be brought in your individual capacity only, and not as a plaintiff or class member in any purported class, collective, or representative proceeding. The arbitrator may not consolidate more than one person's claims and may not preside over any form of class or representative proceeding. If this class action waiver is found unenforceable, the arbitration agreement in this section shall be null and void.

Exceptions. Either party may seek emergency injunctive or other equitable relief in a court of competent jurisdiction to prevent actual or threatened infringement of intellectual property rights or to protect confidential information. Small claims court actions that qualify may also be brought in that court.

Opt-out. You may opt out of this arbitration agreement by sending written notice to hello@zygihealth.org within 30 days of first creating your account. Your notice must include your name, email address, and a clear statement that you wish to opt out of arbitration.

13. Changes to these terms

We may update these terms from time to time. If we make material changes, we will notify you by email or by a notice within the app. Continued use of Zygi after changes take effect constitutes your acceptance of the updated terms.

14. Governing law

These terms are governed by the laws of the State of New York, without regard to conflict of law principles. To the extent a Dispute is not subject to arbitration under Section 11, you and Zygi consent to the exclusive jurisdiction of the state and federal courts located in New York, New York.
